Business Name vs ABN vs Company: What's the Difference?
If you're starting a business in Australia, you've probably come across terms like ABN, business name and company. Many people assume they're all the same thing. They're not. In fact, understanding the difference early can save you time, money and frustration later.
Let's break it down in plain English.
What is an ABN?
An Australian Business Number (ABN) is a unique 11-digit number used to identify your business.
It allows businesses to interact with the Australian Taxation Office (ATO), invoice customers and register for services such as GST (if required).
An ABN doesn't:
protect your business name
create a company
register a trademark
Think of it as your business's identification number.
What is a business name?
A business name is simply the name you trade under.
For example:
Your legal name might be: Jane Smith
But you trade as: Bloom Creative Studio
"Bloom Creative Studio" is your registered business name. Registering a business name lets people identify who is operating the business. It doesn't automatically give you exclusive ownership of that name.
What is a company?
A company is a legal business structure. Unlike a sole trader, a company is its own legal entity.
That means the company can:
enter contracts
own assets
employ people
continue operating even if ownership changes
Companies also have additional responsibilities and ongoing compliance obligations.
Can you have all three?
Yes.
For example:
Company: ABC Holdings Pty Ltd
↓
with ABN: 11 XXX XXX XXX
↓
operating under Business Name: The Nuffy's Guide
These all serve different purposes.
Common misconceptions
"If I register a business name, no one else can use it."
Not necessarily. A registered business name identifies your business, but it doesn't automatically provide trademark protection.
"An ABN protects my business."
No. An ABN is simply an identifier.
"I need a company before I can start a business."
Not always. Many Australian businesses begin as sole traders. The right structure depends on your circumstances.
Nuffy's Tip
Think of it like this:
Company = Your business structure.
Business Name = What customers know you by.
ABN = Your business's identification number.
Once you understand the difference, everything else starts to make much more sense.
